Spinly Terms and Conditions

These Terms and Conditions act as a legally binding agreement between Players and Mixxxed Bag LLC (hereinafter referred to as “Spinly”). By registering an account or participating in any gameplay, you affirm that you have read and agree to be bound by these Terms, along with our [Privacy Policy], [Sweepstakes Rules], and [Responsible Social Gameplay Policy].

IMPORTANT LEGAL NOTICES:

  • NO REAL MONEY GAMBLING: The Games and Platform do not offer real money gambling. No actual money is required to play.
  • ARBITRATION & CLASS ACTION WAIVER: By accepting these Terms, you waive the right to pursue any class, group, or representative claim. All disputes between you and Spinly shall be resolved through individual arbitration (See Section 11).

1. Player Eligibility & Restrictions

To legally participate on the Spinly platform, you must meet all the following criteria. Participation is void where prohibited by law.

  • Age Requirement: You must be at least 18 years of age or older. (Exception: Players located in Alabama, Nebraska, and Ohio must be 19 years of age or older).
  • Restricted Territories: You must not reside in, or access the Platform from, outside the United States OR from any of the following Restricted States: California, Connecticut, Delaware, Idaho, Indiana, Louisiana, Maryland, Michigan, Montana, Nevada, New Jersey, New York, Tennessee, Washington, West Virginia.
  • Personal Capacity: You must participate for your own personal, recreational purposes. You may not play on behalf of a third party, business, or corporate entity.
  • Location Masking: The use of VPNs, proxies, or similar services to hide your true location to bypass territorial restrictions is strictly prohibited and constitutes fraud.

 

2. Customer Account & Security

  • Single Account Only: Players are permitted to maintain only one (1) Customer Account. Creating multiple accounts will result in immediate suspension and potential forfeiture of all balances.
  • Accuracy of Information: The name on your account must match your government-issued ID and the Payment Medium used for purchases.
  • Account Security: You are solely responsible for keeping your login credentials secure. Spinly is not responsible for unauthorized access.
  • Inactive Accounts: If an account has not been logged into for twelve (12) consecutive months, it will be deemed "Inactive." Spinly reserves the right to close inactive accounts, at which point all Gold Coin and Sweepstakes Coin balances will expire and reset to zero.
  • No Transfers: Transferring, selling, or trading Gold Coins or Sweepstakes Coins between accounts or individuals is strictly prohibited.

 

3. Virtual Currency: Gold Coins & Sweepstakes Coins

Spinly operates using a dual virtual currency system:

  • Gold Coins (GC): Used strictly for Standard Play. Gold Coins have no real monetary value and can never be redeemed for prizes.
  • Sweepstakes Coins (SC): Used for Promotional Play. SC cannot be purchased. They are obtained for free via promotions, daily logins, mail-in requests, or as a complimentary gift with GC purchases.

 

4. Purchases & Refund Policy

  • Purchasing GC: You must legally own the Payment Medium (credit card, bank account, etc.) used to purchase Gold Coins. Purchases will appear on your statement as "Spinly".
  • Limited Refunds: Purchases of unused Gold Coin packages are refundable within the first 48 hours of purchase, provided that NO Gold Coins or complimentary Sweepstakes Coins from that package have been played. After 48 hours, all purchases are final, non-refundable, and non-transferable.
  • Restricted State Auto-Refunds: Any purchase mistakenly processed from a resident of a Restricted Territory (e.g., CA, WA, NV) will be refunded. Charges imposed by the financial institution managing such refunds are the Player's responsibility.
  • Chargebacks: Any chargeback or reversed payment will result in immediate account suspension and a debt owed to Spinly.

 

5. Prize Redemption Rules

Only Sweepstakes Coins won through Promotional Play may be redeemed for prizes (1 SC = $1.00 USD), subject to the following rules:

  • Minimum Balance: You must have a minimum of 100 redeemable Sweepstakes Coins to initiate a prize redemption request.
  • Playthrough Requirement: Unless otherwise specified, SC must be played through at least once (and up to 20 times at Spinly's discretion) before becoming eligible for redemption.
  • State Specific Limits: In the state of Florida, the maximum redemption value for a Prize won on any single spin or play is capped at $5,000.
  • Daily Limits: Each Player is limited to a daily maximum Prize redemption value of $1,000.
  • Tax Requirements: Players are responsible for all applicable taxes. Spinly will require a completed W-9 form (including Social Security Number) for any redemption request totaling $600 or greater. Failure to provide this within 72 hours will halt the payout.
  • Processing Time: Redemptions typically process within 10 business days. Transactions over $10,000 may require an additional 7-10 days for enhanced security and anti-fraud clearance.

 

6. Verification (KYC) & Anti-Money Laundering

Spinly maintains the right to verify your identification, age, location, and source of funds at any time. Any prize redemption is pending until Spinly is satisfied with the verification. You may be asked to provide:

  1. Government-issued ID (e.g., Passport, Driver's License)
  2. Proof of address (e.g., Utility bill)
  3. Proof of wealth/funds (e.g., Bank statement) Failure to provide requested documents within 30 days will result in account suspension.

 

7. Fraudulent Conduct & Prohibited Activities

Engaging in any of the following activities will result in immediate account closure, forfeiture of all balances, and potential legal action:

  • Using bots, auto-clickers, or any software-assisted methods for gameplay.
  • Hacking, phishing, or reverse-engineering the Platform.
  • Using third-party credit cards or uploading forged verification documents.
  • Harassing, abusing, or spamming other players or Spinly staff via the Live Chat service.
  • Money laundering or using the platform for illegal financial transfers.

 

8. Intellectual Property & Third Parties

All content, graphics, software, and trademarks on the Platform are owned by or licensed to Spinly. You are granted a limited, personal, revocable, non-exclusive license to use the Platform for personal entertainment. You have no ownership rights over the Customer Account, Virtual Currency, or any content. Spinly is not responsible for the content or fraudulent activities of any third-party websites claiming to offer Gold Coins or Sweepstakes Coins.

 

9. Limitations of Liability & Malfunctions

  • "As Is" Basis: The Platform and Games are provided without warranties of any kind.
  • Malfunctions Void All Pays: Spinly is not liable for server disruptions, lag, or technical glitches. If a Game malfunctions, all subsequent gameplay and resulting awards are void. Spinly will reasonably attempt to return the specific GC/SC wagered during the failure.
  • Liability Cap: To the maximum extent permitted by law, Spinly's total liability to you shall not exceed the amount you have paid to Spinly in the 30 days immediately preceding your claim.

 

10. Dispute Resolution & Binding Arbitration

PLEASE READ CAREFULLY: THIS SECTION LIMITS HOW YOU CAN SEEK RELIEF.

  • Informal Resolution: Before filing a claim, you agree to contact the [Customer Support Team] to attempt an informal resolution. Complaints must be submitted within one (1) month of the incident.
  • Individual Arbitration: Any unresolved disputes shall be governed by the Federal Arbitration Act and resolved through final and binding individual arbitration administered by the American Arbitration Association (AAA) in Las Vegas, Nevada.
  • Class Action Waiver: You and Spinly agree that disputes will proceed on an individual basis. You may not bring a claim as a class, mass, or representative action.
  • Opt-Out Right: You may decline this arbitration agreement by emailing admin@spinly.com within 30 days of accepting these Terms. The email must include your name, address, and a clear statement declining the arbitration agreement.

 

11. General Provisions

  • Governing Law: These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles.
  • Amendments: Spinly reserves the right to amend these Terms at any time. Material changes limiting your rights will be communicated via email or platform pop-ups.
  • Promotional Spins & Drops: Spinly offers Weekly Tournaments and Daily Prize Drops. Participation requires at least one Qualifying Spin. Prizes are awarded randomly or based on leaderboard scores as specified in the game rules.
